Nexus by PostalPoint Terms of Service
Nexus Terms of Service
Effective date: 2026-10-20
1. The agreement
1.1 Parties. These Terms of Service (the “Agreement”) are between PostalPortal LLC, a Montana limited liability company (“PostalPortal,” “we,” “us”), and the business that opens a Nexus account (“Customer,” “you”). Nexus by PostalPoint (“Nexus”) is our postage and shipping label service.
1.2 Acceptance. You accept this Agreement by signing an order form or onboarding form that references it, by clicking to accept it, or by buying postage through Nexus. The person accepting represents that they are authorized to bind the Customer. If they are not, they are personally bound as the Customer.
1.3 Business use only. Nexus is offered only to businesses, for business purposes. You represent that you are not a consumer, and that every bank account and card you link is used primarily for business purposes.
1.4 Order of precedence. If documents conflict, this order controls: (a) a signed order form, for its specific terms; (b) the Personal Guaranty, if any; (c) this Agreement; (d) the API documentation and fee schedule. Carrier rules always govern how mail and packages are prepared and handled, whatever this Agreement says.
1.5 Definitions.
- Account: your Nexus postage account, including every API key issued for it.
- Wallet: the prepaid balance in your Account used to pay for postage and Fees.
- Postage: the price of any label, stamp, indicia or carrier service bought through Nexus, including extra services, surcharges and handling fees.
- Carrier: the United States Postal Service (“USPS”) or any other carrier whose services are available through Nexus.
- Label Provider: USPS or any other third party from which we buy labels, stamps or indicia.
- Carrier Charge: any amount a Carrier or Label Provider charges or assesses for a label bought through your Account after purchase, including adjustments, assessments, penalties, postage due and the related fees.
- Fees: reload fees, convenience fees, return and dispute fees, adjustment processing fees and any other charge in the fee schedule.
- Amounts Owed: everything described in Section 9.1.
- Payment Method: a bank account or card you link to your Account.
-
Fee schedule: the fees and limits shown in your Account or returned by the
balanceendpoint, as updated under Section 16.4.
2. The service and your license
2.1 What Nexus does. Nexus lets you rate packages, verify addresses, buy shipping labels, stamps and SCAN forms, and manage a prepaid Wallet, through the Nexus API and through PostalPoint. We buy postage from Carriers and Label Providers on your behalf and resell it to you. We are not a Carrier and we do not transport anything.
2.2 License. While your Account is in good standing, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Nexus API and documentation to buy postage for shipments you tender yourself, from your own business locations.
2.3 Restrictions. You may not:
- Resell, sublicense or share Nexus, your API keys or Nexus pricing with another business, except that a retail shipping store may buy labels for its own walk-in customers’ shipments.
- Use Nexus for any purpose other than USPS or Carrier shipping and mailing transactions.
- Copy, alter, reuse or duplicate any label, stamp or indicia, or print one more than once for use on more than one mailpiece.
- Reverse engineer Nexus, probe or test its security, or get around rate limits, Wallet controls or fraud checks.
- Send requests that degrade Nexus or a Carrier’s systems.
- Use a Carrier’s name, marks or data in a way that suggests the Carrier sponsors or endorses you.
2.4 Availability and changes. Nexus depends on Carriers and Label Providers and may be unavailable at times. We may change, add or remove features, services, Carriers and Label Providers at any time. We will try to give advance notice of changes that break the API.
2.5 Rates and quotes. A rate is good for purchase until its quote expires. Rates are set by our pricing at the time of the quote, not by any Carrier’s published retail or commercial price. Delivery estimates are estimates, not guarantees, unless the Carrier itself guarantees the service.
2.6 Our property. We own Nexus and everything we provide to run it. You own your shipment data, and you license it to us under Section 15.
2.7 PostalPoint license. Nexus is offered to PostalPoint licensees. Unless we agree otherwise in writing for your Account, keeping your Account active is conditioned on your business (a) holding an active PostalPoint license in good standing for each location that uses Nexus, and (b) being current on all PostalPoint license fees. If your PostalPoint license ends, is suspended or terminated, or any license fee is more than 15 days past due, we may suspend or close your Account under Section 13.3 without the notice in Section 13.2. We will lift a suspension once the license is active and its fees are paid, unless the Account has been closed. Your PostalPoint license agreement governs PostalPoint and this Agreement governs Nexus; ending either one does not cancel amounts owed under the other. We may waive this condition for an Account, and may reinstate it on 30 days’ notice.
3. Your account and API keys
3.1 Accurate information. You must give us your true legal business name, any assumed business names, the physical address of each location you ship from, a phone number and an email address that reach someone responsible for the Account, and the identity of your owners on request. Tell us within 10 days if any of it changes, including a sale of the business, a change of owner, a closure or a move.
3.2 You are responsible for every use of your Account. All postage bought, Carrier Charges incurred and Fees owed through your Account are yours, whether or not you authorized the request. This includes requests made with an API key that was leaked, shared, or used by a current or former employee, contractor or software vendor. Keep your API keys secret and revoke a key as soon as you suspect it has been exposed.
3.3 Notices to you. We send notices by email to the address on your Account, and they are effective when sent. Notices about charges may also be shown in PostalPoint or returned by the API. If our email to you bounces, the notice is still effective.
3.4 Verification. We may verify your identity, business and Payment Methods at any time, including by credit and public-record checks, and may limit or decline service based on the results.
4. USPS and Carrier terms
4.1 Carrier rules apply to you. Every shipment is subject to the rules of the Carrier carrying it. For USPS, that includes the Domestic Mail Manual (DMM), the International Mail Manual (IMM), Publication 52 (Hazardous, Restricted, and Perishable Mail), Notice 123 and any other published USPS standard in effect on the mailing date. For other Carriers, it includes their service guide and terms of carriage. You agree to them, and you are responsible for complying with them.
4.2 USPS label terms. For every USPS label, stamp or indicia you buy through Nexus, you agree that:
- You bear full responsibility for having authority to reproduce and use the label as created, including any trademark, logo, slogan, likeness or copyrighted material in it, and you have that authority.
- Images and other matter on the label, other than USPS’s own required markings, are not provided, approved or endorsed by USPS.
- You will comply with the USPS postage discrepancy rules in DMM 604.4.4 and 604.4.5, including paying any discrepancy USPS identifies and disputing one only through us, within the time USPS allows.
- You will comply with every other term, condition and requirement USPS sets for the purchase and use of postage.
4.3 Using postage correctly. You must:
- Declare the true weight, dimensions, packaging, contents, origin and destination of every piece, and buy only the service it actually qualifies for.
- Use each label, stamp or indicia on one mailpiece only, and never copy, alter or reprint one for use on another piece. Reuse of postage with intent to cause loss to USPS is a federal crime.
- Tender each piece on the mailing date on the label, or the date USPS rules allow.
- Claim Media Mail, Library Mail or any other restricted price only when the contents qualify.
- Not tender a piece with a label that has been voided or refunded.
4.4 You are the mailer. Nexus pays USPS for your labels, but you are the shipper and mailer of every piece bought through your Account, and USPS identifies you on its systems as the shipper. You are responsible to USPS and to us for what is in the package, how it is packed and marked, and whether it is mailable.
4.5 Information we send to Carriers. You authorize us to send your business name, return and origin addresses, phone number, email, Account identifier and shipment details to Carriers and Label Providers with each label, as they require. USPS requires platforms to identify the business each label is for.
4.6 USPS Privacy Act Statement. Your information will be used to facilitate the purchase of USPS postage and fulfill transactional reporting requirements for USPS postage systems. Collection is authorized by 39 U.S.C. 401, 403, and 404. Providing the information is voluntary, but if it is not provided, your transaction may not be processed. USPS does not disclose your information to third parties without your consent, except to facilitate the transaction, to act on your behalf or request, or as legally required. This includes the following limited circumstances: to a congressional office on your behalf; to financial entities regarding financial transaction issues; to a USPS auditor; to entities, including law enforcement, as required by law or in legal proceedings; and to contractors and other entities aiding USPS to fulfill the service (service providers). For more information regarding USPS privacy policies, visit www.usps.com/privacypolicy.
4.7 Carrier action against your Account. If USPS or any Carrier finds you noncompliant, asks us to stop selling you postage, or suspends the ability to buy postage for your shipments, we may suspend your Account immediately, and Section 13 applies.
4.8 Loss, damage and delay. Carriers, not PostalPortal, carry your shipments. Claims for loss, damage, delay or a service not rendered are made to the Carrier under its rules (for USPS, DMM 609 and 604.9), and Carrier insurance is only as good as the Carrier’s own claim rules. We will give you the label records you need to file. Any refund or claim payment we receive for your shipment will be credited to your Wallet, less any Amounts Owed.
4.9 No endorsement. USPS and other Carriers do not sponsor or endorse Nexus or your business. USPS is a registered trademark of the United States Postal Service, and Carrier names and marks belong to their owners.
4.10 Label Provider terms. Labels bought through a Label Provider are also subject to that Label Provider’s terms that apply to shippers. Where a Label Provider’s terms require you to accept a Carrier’s terms, you accept them by buying the label.
5. What you ship
5.1 Mailability. You may not ship anything a Carrier prohibits or that is illegal to send, possess or export. Restricted items, including hazardous materials, lithium batteries, perishables, live animals, cremated remains, firearms and parts, ammunition, alcohol, tobacco and vapor products, and drugs, may be shipped only where the Carrier allows them and only when packed, marked, labeled and declared as its rules require. Declaring the right extra service or content type in the request is your responsibility, and so is the fact that a service was not offered when you did.
5.2 Your walk-in customers. If you are a retail shipping store, you are responsible to us for every shipment you label for your own customers as if it were yours. You must screen what they ship as the Carrier requires, and you may not let a customer use Nexus directly.
5.3 International shipments. You are responsible for accurate customs declarations, item descriptions, values, tariff codes, export filings (including any required Electronic Export Information), licenses, and compliance with U.S. sanctions and export controls. You may not ship to or for anyone on a U.S. government restricted-party list or to a destination the Carrier or U.S. law prohibits. Duties and taxes charged to you or to us because of your shipment are Carrier Charges.
5.4 Addresses. Nexus may verify and correct addresses, and the label will use the corrected address. You are responsible for reviewing corrections and warnings, and for any cost of an undeliverable or misaddressed piece.
5.5 Fines and penalties. Any fine, penalty or assessment imposed on you, on us or on a Label Provider by a Carrier or government agency because of a shipment from your Account is a Carrier Charge you must pay, including USPS civil penalties for improperly mailed hazardous materials.
6. Wallet, prices and fees
6.1 Prepaid Wallet. Postage is paid in advance from your Wallet. The Wallet is a prepayment for our services, not a bank or deposit account. It earns no interest, is not insured by the FDIC, cannot be transferred to anyone else, and can be paid out only under Section 13.5. A purchase is not made unless the Wallet (after any automatic refill) covers it.
6.2 Prices. The price of each label is the rate shown when you buy it. Our prices may differ from Carrier retail and commercial prices, and the difference is our compensation for the service. Prices for new quotes may change at any time.
6.3 Refills. You may add funds by manual refill or automatic refill, using a linked bank account (ACH) or card. The amount charged to your Payment Method is the refill amount you choose (or, for an automatic refill that has to cover a purchase, the smallest whole multiple of it that does). Your Wallet is credited that amount less the ACH reload fee or the card convenience fee.
6.4 When refills are credited. A refill is credited either immediately or when the payment settles, as the API reports for that refill. When we credit a refill before your payment has settled, we are extending you credit until it settles. If the payment is later returned, reversed, disputed or not collected, the credited amount is an Amount Owed.
6.5 Automatic refill. If you turn on automatic refill, we will charge your Payment Method your chosen amount whenever your balance falls below your chosen threshold, and as needed to complete a purchase you request. Section 10 and Section 11 authorize those charges. Automatic refill may turn itself off after a returned or disputed payment.
6.6 Fees. Reload fees and other Fees are in the fee schedule. We may change Fees on 30 days’ notice. A new or higher Fee does not apply to a refill or purchase made before it takes effect.
6.7 Limits. We set minimum and maximum refill amounts, daily refill limits and limits on uncleared transfers, and may change them at any time, for any reason, including our assessment of risk.
6.8 Taxes. Prices and Fees do not include taxes. You are responsible for any sales, use or similar tax on your purchases, other than taxes on our income.
6.9 Balance can go negative. Your Wallet can have a negative balance, for example after a Carrier Charge or a returned payment. A negative balance is an Amount Owed and is handled under Section 9.
7. Voids, refunds and stamps
7.1 Voiding a label. You may ask to void an unused label through Nexus. A void is a refund request to the Carrier, and the Carrier decides it. When the Carrier refunds, we credit your Wallet the price you paid, less any part the Carrier keeps or charges for the refund. A refund may be immediate or may take weeks. If the Carrier refuses, the label is not refunded.
7.2 Deadlines. Carriers only accept refund requests within their own time limits. A label you do not ask to void in time is not refundable.
7.3 A voided label must not be used. If a label is used after you asked to void it, or a Carrier reverses a refund for any reason, the refunded amount and any Carrier Charge for it are Amounts Owed.
7.4 Stamps and IMb letter postage. Stamps cannot be voided or refunded through Nexus. Letter, flat and card postage that USPS only refunds by later review is credited only if and when USPS approves the refund.
7.5 Purchases that don’t complete. If a Carrier does not answer a purchase request, we hold the charge while we find out whether the label was made. If it was, the purchase stands. If we reversed the charge and the label later turns out to exist, we will charge you for it again or cancel it with the Carrier, and the charge is an Amount Owed.
7.6 Service refunds and claims. Refunds for a service the Carrier failed to provide (such as a missed Priority Mail Express guarantee) and claims for loss or damage follow Section 4.8.
7.7 Errors. If we credit you an amount in error, or fail to charge you for a purchase, we may correct it by debiting your Wallet. If we charge you in error, we will credit it back. Report a charge you believe is wrong within 60 days of the charge; after that, it is final, except for Carrier Charges, which you may dispute only as Section 8.4 allows.
8. Carrier adjustments and other later charges
8.1 You pay what the Carrier finds. Carriers measure, weigh, scan and audit packages after you buy the label, and charge the difference when what they find doesn’t match what was declared. You must pay every such Carrier Charge for a label bought through your Account, including:
- Weight, dimension, packaging, zone and service corrections (for USPS, automated package verification adjustments);
- Assessments for labels used more than once, used after a refund, or tendered without a valid manifest;
- Charges for misclassified, nonmailable or misdeclared contents, and handling fees for live animals, perishables or hazardous materials;
- Return, forwarding, postage-due and similar charges a Carrier bills to the label’s payer;
- Duties, taxes and brokerage charged to us for your international shipments;
- Fines and penalties under Section 5.5.
8.2 Timing. Carriers can bill these charges days, months, or longer after the shipment, including after your Account is closed. They are owed whenever they are billed.
8.3 How we charge them. We debit your Wallet for each Carrier Charge plus the adjustment processing fee in the fee schedule, even if the debit makes your balance negative. When a Carrier refunds an overpayment, we credit your Wallet the amount the Carrier refunds. For large or unusual adjustments, we may hold the charge for review before applying it, but holding it does not waive it.
8.4 Disputing a Carrier Charge. Disputes go to the Carrier, through us. To have us dispute an adjustment, send us the evidence (such as the weight and dimensions you measured, with photos) within 14 days after we notify you of it. We will submit a dispute if the Carrier allows one, but the Carrier’s decision is final. If the Carrier reverses the charge, we refund it to your Wallet. A pending dispute does not suspend your duty to pay.
8.5 Reporting. The adjustments endpoint and your Wallet ledger list every adjustment. Your Account history is our record of the charge, unless you show it is wrong.
9. Amounts owed and negative balances
9.1 What counts as an Amount Owed. You must pay us each of the following, whenever and however it arises:
- Any negative balance in your Wallet, for any reason.
- Carrier Charges under Section 8, whenever billed.
- Any refill we credited to your Wallet that we did not finally collect, because the ACH debit was returned or reversed, the card charge was declined, reversed or disputed, or the payment otherwise failed.
- Return fees, dispute fees and other Fees.
- Refunds a Carrier reverses, and labels charged again under Section 7.5.
- Amounts credited or left uncharged in error under Section 7.7.
- Every purchase and charge made through your Account, authorized or not, under Section 3.2.
- Anything we pay or lose to a Carrier, Label Provider, payment processor or government agency because of your shipments, your Payment Methods or your breach of this Agreement, including amounts under Section 14.4.
- Late charges, interest and collection costs under Sections 9.6 and 9.7.
- Any amount you owe PostalPortal under any other agreement, including a PostalPoint license, for purposes of setoff under Section 9.3.
9.2 When it is due. Amounts Owed are due immediately when they arise, without demand. We will tell you about each negative balance or charge by email, but our failure to notify does not change when it is due.
9.3 How we collect. We may collect any Amount Owed using any of the following, in any order, as many times as needed until it is paid:
- Debit your Wallet balance.
- Apply any refill, refund, adjustment credit, claim payment or other amount that would otherwise be credited or paid to you.
- Debit any bank account linked to your Account by ACH under Section 10.
- Charge any card saved to your Account under Section 11.
- Set off the amount against anything PostalPortal owes you under this or any other agreement.
- Demand payment by any other means.
9.4 Charging a negative balance without further consent. Whenever your Wallet balance is negative, you authorize us, without any further notice, consent or action from you, to initiate an ACH debit to your linked bank account, or a charge to your saved card, for the amount needed to bring the balance to zero, or, if automatic refill is on, to bring it back above your threshold. This authorization:
- Applies whether or not automatic refill is on, and even if you turned automatic refill off.
- Continues after your Account is suspended, closed or terminated, until every Amount Owed is paid.
- Covers repeated attempts, including re-presenting a returned ACH debit as Nacha rules allow.
9.5 Reserve. If we reasonably believe Carrier Charges, returned payments or disputes are likely on your Account, we may hold part of your Wallet balance as a reserve, or require you to fund one, in an amount we reasonably set. When an Account closes, we keep a reserve for 180 days for Carrier Charges that are billed late, then pay out the rest under Section 13.5.
9.6 Late charges and interest. Any Amount Owed not paid within 10 days after we notify you bears interest from the date it arose at the lesser of 1.25% per month (15% per year) or the highest rate the law allows.
9.7 Collection costs. You must pay our reasonable costs of collecting any Amount Owed, including collection agency fees, court costs and reasonable attorneys’ fees, whether or not a lawsuit is filed.
9.8 Collection agencies and reporting. We may refer an unpaid Amount Owed to a collection agency or attorney, report it to business credit bureaus, and tell Carriers and Label Providers that your Account was closed for nonpayment.
9.9 Payments we receive. We apply payments first to collection costs and Fees, then to interest, then to the oldest Amounts Owed. Accepting a partial payment, or a payment marked “paid in full,” does not settle the rest of the debt unless we agree in a signed writing.
9.10 Sale, closing or dissolution of your business. Your obligations under this Agreement survive the sale, transfer, closing, dissolution or bankruptcy of your business, and a change in its owners. If you sell or transfer the business or substantially all of its assets, every Amount Owed (including the estimated Carrier Charges in Section 9.5) becomes due immediately, and the Account may not be used by the buyer unless we agree in writing.
9.11 Personal guaranty. We may require an owner or officer of your business to sign a personal guaranty before we open or keep open your Account or raise your limits. A personal guaranty makes that person personally responsible for paying every Amount Owed if the business does not, and is a separate signed document.
9.12 Nonpayment is a breach. Failing to pay an Amount Owed within 10 days after we notify you is a material breach, and we may suspend or close your Account under Section 13.
10. ACH debit authorization
10.1 Authorization. By linking a bank account to your Account, you authorize PostalPortal, and the banks and payment processors acting for it, to initiate ACH debit entries to that account, and ACH credit entries to correct errors or pay out a balance, for:
- Each manual refill you request, in the amount you request.
- Each automatic refill, in the amount you set, or the whole multiple of it needed to complete a purchase you request.
- Each charge under Section 9.4 to bring a negative balance to zero or above your refill threshold.
- Any other Amount Owed, including return fees.
- Re-presentment of any debit that is returned, as Nacha rules permit.
10.2 Variable amounts and dates. The amount and date of each debit vary with your use of Nexus. Apart from the emails described in Section 9.4 and the refill confirmations shown in Nexus, you agree that no separate advance notice of a debit’s amount or date is required.
10.3 Your representations. You represent that the account is a business account held in the name of the Customer, that you are authorized to permit debits to it, and that you will keep enough funds in it to cover debits authorized here. Debits are business (CCD) entries governed by the Nacha Operating Rules and U.S. law.
10.4 Verification. We may verify the account with a zero-dollar prenotification, micro-deposits or an account-validation service before debiting it, and may delay credit for refills from a newly linked account until debits have cleared.
10.5 Returned debits. If a debit is returned for any reason, the debited amount (to the extent credited to your Wallet) and the return fee are Amounts Owed, automatic refill may be turned off, and we may disable the bank account until you give us a new one. You agree not to report an authorized debit to your bank as unauthorized. If you do, the reversed amount and the return fee are Amounts Owed, and we may close your Account.
10.6 Changes to your account details. If your bank sends a notification of change correcting the account or routing number, we will update the account and continue debiting it under this authorization.
10.7 Revocation. This authorization stays in effect until you revoke it by removing the bank account in Nexus or by emailing us at [email protected], and we have had 3 business days to act on it. Revoking does not affect a debit already initiated, does not cancel any Amount Owed, and does not revoke your card authorization. If revoking leaves your Account with no Payment Method, we may suspend the Account until you add one.
10.8 If the account turns out to be a consumer account. If, despite Section 1.3, the linked account is a consumer account under Regulation E, you agree that we will notify you in advance of a debit only when its amount exceeds the greater of your automatic refill amount and $500, and that we will send that notice at least 10 days before the debit. You may stop a scheduled debit by contacting us at least 3 business days before it.
10.9 Records. We keep a record of this authorization, and of how and when you gave it, for at least 2 years after it ends.
10.10 Authorization wording shown at linking. When you link a bank account in Nexus, you are shown and must accept this statement:
I authorize PostalPortal LLC to electronically debit the bank account above, and to credit it to correct errors, for Nexus postage refills I request, for automatic refills at the amount I set, for any negative Wallet balance and other amounts I owe under the Nexus Terms of Service, and for returned-payment fees. Amounts and dates vary with my use of Nexus. This authorization remains in effect, including after my Nexus account is closed, until I revoke it by removing this bank account in Nexus or by emailing [email protected], allowing 3 business days to act on it. Revoking does not cancel amounts already owed. I am authorized to permit debits to this account, and it is used primarily for business purposes.
11. Card authorization
11.1 Saving a card. When you save a card to your Account, you agree that we will store it with our card processor as a stored credential and charge it without your further action, as described in this section. Card numbers are collected and held by our processor; we keep only the brand, last four digits and expiration date.
11.2 What we may charge. You authorize us to charge the saved card, as unscheduled merchant-initiated transactions, for:
- Each manual refill you request with the card, in the amount you request.
- Each automatic refill that is paid by card under Section 6.5, in the amount you set or the whole multiple of it needed to complete a purchase.
- Each charge under Section 9.4 to bring a negative balance to zero or above your refill threshold.
- Any other Amount Owed.
The card that is charged is the most recently saved card on your Account that is still enabled.
11.3 Timing and amount. Charges are made when the event that triggers them happens: your refill request, your balance falling below your threshold or below zero, or an Amount Owed arising. Amounts vary with your use of Nexus. Each charge is shown in your Wallet ledger, and we email you about charges under Section 9.4.
11.4 Convenience fee. The convenience fee in the fee schedule applies to every refill paid by card, including debit and prepaid cards.
11.5 Updated card details. If the card is reissued or its expiration date changes, we may use updated details supplied by the card network or your issuer.
11.6 Cancellation. You may cancel this authorization by removing the card in Nexus or by emailing [email protected]. Cancellation takes effect once we have had a reasonable time to act on it, does not affect a charge already made, and does not cancel any Amount Owed or your ACH authorization.
11.7 Authorization wording shown at saving. When you save a card in Nexus, you are shown and must accept this statement:
I authorize PostalPortal LLC to save this card and charge it, without asking me again, for Nexus postage refills I request, for automatic refills at the amount I set, for any negative Wallet balance, and for other amounts I owe under the Nexus Terms of Service. Charges happen when a refill is requested, when my balance falls below my threshold or below zero, or when an amount becomes owed, and the amounts vary with my use of Nexus. A convenience fee may apply as shown in my account. I can cancel this by removing the card in Nexus or emailing [email protected]; cancelling doesn’t cancel amounts already owed.
12. Returned payments and disputes
12.1 What happens. If an ACH debit is returned, or a card charge is reversed or disputed (a chargeback), then:
- Whatever was credited to your Wallet from that payment is taken back out, even if that makes your balance negative.
- The applicable return or dispute fee is charged to your Wallet.
- Automatic refill is turned off, and the bank account or card involved may be disabled.
- We may collect the resulting Amounts Owed under Section 9.
12.2 Talk to us first. If you think a charge is wrong, contact us before disputing it with your bank or card issuer. Disputing a charge that this Agreement authorizes is a breach of this Agreement.
12.3 Disputes resolved in our favor. If a card dispute is resolved in our favor and we recover the funds, we will apply them to your Amounts Owed and credit any remainder to your Wallet. The dispute fee is not refunded.
12.4 Reinstating a payment method. A bank account or card disabled after a return or dispute can be turned back on only by us, and we may require a reserve, a personal guaranty or a different Payment Method first.
13. Suspension and termination
13.1 Closing by you. You may close your Account at any time by emailing us. Closing does not cancel any Amount Owed, including Carrier Charges billed later.
13.2 Closing by us. We may close your Account for any reason on 30 days’ notice.
13.3 Suspension or closing without notice. We may suspend your Account, turn off automatic refill, limit refills or purchases, or close your Account immediately if:
- An Amount Owed is unpaid 10 days after we notify you;
- A payment is returned, reversed or disputed;
- We suspect fraud, unauthorized use, label reuse or misdeclared shipments;
- A Carrier, Label Provider, bank or card processor requires it or asks us to;
- You breach this Agreement or give us false information;
- Continuing would expose us to legal, regulatory or financial risk;
- The PostalPoint license condition in Section 2.7 applies to your Account and is not met.
13.4 What happens on suspension or closing. You cannot buy postage while suspended or after closing. Labels already bought remain usable for their mailing date unless we reasonably believe they were bought fraudulently, in which case we may void them. Your ACH and card authorizations remain in effect until every Amount Owed is paid.
13.5 Paying out your remaining balance. After an Account closes and the reserve period in Section 9.5 ends, we will pay out any positive Wallet balance, less Amounts Owed, by ACH credit to your linked bank account or by check to your address. Reload fees already charged are not refunded. A balance we cannot deliver after reasonable efforts is handled as unclaimed property law requires.
13.6 Inactive accounts. We may opt to close an Account with no purchases or refills for 24 months, after notice to you, and pay out its balance under Section 13.5.
13.7 Survival. Sections 3.2, 4, 5, 7 through 12, 13.4 through 13.7, and 14 through 16 survive the end of this Agreement.
14. Disclaimers, liability and indemnity
14.1 No warranties. NEXUS IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT NEXUS WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ADDRESS VERIFICATION OR RATES WILL BE CORRECT, OR ANYTHING ABOUT ANY CARRIER’S OR LABEL PROVIDER’S SERVICE.
14.2 Carriers are not our agents. We are not responsible for what Carriers or Label Providers do or fail to do, including loss, damage, delay, misdelivery, refused refunds, adjustments, service outages or changes in their prices or rules.
14.3 Limitation of liability. TO THE FULLEST EXTENT THE LAW ALLOWS: (A) WE ARE NOT LIABLE FOR LOST PROFITS, LOST SALES, LOST DATA, BUSINESS INTERRUPTION, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THIS AGREEMENT OR NEXUS IS LIMITED TO THE GREATER OF $500 OR THE FEES YOU PAID US IN THE 6 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, PLUS ANY POSITIVE WALLET BALANCE WE OWE YOU. These limits do not limit your obligation to pay Amounts Owed.
14.4 Your indemnity. You will defend, indemnify and hold harmless PostalPortal, its owners, employees and contractors from all claims, losses, fines, penalties, Carrier Charges, damages and costs (including reasonable attorneys’ fees) arising from: (a) any shipment bought through your Account or its contents; (b) your breach of this Agreement or of any Carrier’s rules; (c) any customs, export, sanctions or hazardous-materials violation; (d) use of your Account or API keys by anyone; or (e) a claim by one of your customers or recipients. Amounts we incur under this section are Amounts Owed.
14.5 Time to bring claims. Any claim you have against us must be brought within one year after it arises, or it is barred.

16. General terms
16.1 Governing law. Montana law governs this Agreement, without regard to its conflict-of-laws rules.
16.2 Where disputes are heard. Any lawsuit about this Agreement or Nexus must be brought in the state courts located in Lewis and Clark County, Montana, and both parties consent to their jurisdiction. We may also bring a collection action in any court with jurisdiction over you or your assets, including a small claims or justice court.
16.3 Attorneys’ fees. In any lawsuit about this Agreement, the prevailing party may recover its reasonable attorneys’ fees and costs, in addition to the collection costs owed under Section 9.7.
16.4 Changes to this Agreement. We may change this Agreement or the fee schedule by emailing you at least 30 days before the change takes effect. A change required by a Carrier, Label Provider, payment network or law may take effect sooner, with as much notice as we reasonably can give. Using Nexus after a change takes effect means you accept it. If you don’t accept a change, close your Account before it takes effect. Changes do not apply to purchases or refills made before they take effect.
16.5 Electronic signatures and records. You agree to do business with us electronically. Clicking to accept, signing electronically, and linking a bank account or saving a card with the authorization wording shown are signatures with the same effect as a handwritten one.
16.6 Notices to us. Send notices to [email protected], or by mail to PO Box 7871, Helena MT 59604. Notices to you follow Section 3.3.
16.7 Assignment. You may not assign or transfer this Agreement or your Account without our written consent. We may assign it, including the right to collect Amounts Owed, to anyone.
16.8 Force majeure. We are not responsible for failures caused by events beyond our reasonable control, including Carrier, Label Provider, bank, internet or power outages, natural disasters and government action. This does not excuse your payment obligations.
16.9 Relationship. We are independent contractors. Nothing here makes either of us the other’s partner, employee or agent, except that we act as your agent solely to buy postage and file disputes for you.
16.10 Entire agreement and severability. This Agreement, any order form, the fee schedule and any personal guaranty are the entire agreement about Nexus. If a provision is unenforceable, it is limited to the extent needed and the rest stays in effect. Not enforcing a provision is not a waiver of it.
